ClearHold Audio Commercial Music Use License (lawyer version)
This License Agreement (“License”) confirms your right to use the music files purchased from ClearHold Audio under the terms below.
1. Grant of License
ClearHold Audio grants the purchaser (“Licensee”) a non-exclusive, non-transferable, perpetual, royalty-free license to use the purchased music files for commercial business purposes, including but not limited to:
· Telephone on-hold music
· Voicemail and IVR systems
· In-store background music
· Office, lobby, or waiting room audio
· Internal business use
This license is valid worldwide and does not require any ongoing fees or reporting.
2. Ownership
The music remains the sole property of ClearHold Audio or its licensors. This License grants usage rights only and does not transfer ownership, copyright, or any intellectual property rights in the music.
3. Permitted Use
You may:
· Use the music across phone systems, PBX systems, or cloud-based calling platforms
· Use the music continuously without time limits
License Scope
One licensed music file may be used on one phone system installation or platform, regardless of the number of users or physical locations served by that system. If a business operates multiple, separate phone systems or platforms, a separate license is required for each system. No additional licenses, royalties, or performance fees are required under this License.
4. Prohibited Use
You may not:
· Resell, sublicense, transfer, share, or redistribute the music files as standalone audio
· Provide the music files to third parties except as installed on your licensed system
· Modify, remix, edit, or create derivative works of the music for resale or redistribution
· Claim authorship or copyright ownership of the music
· Upload the music to streaming platforms (Spotify, Apple Music, YouTube, etc.) as a music release
· Use the music in films, TV shows, advertisements, or games intended for resale unless explicitly authorized in writing
5. Royalty-Free Assurance
The music is licensed for commercial use and does not require payments to performing rights organizations, including ASCAP, BMI, SESAC, or similar organizations, when used in accordance with this License. ClearHold Audio represents that use under this License does not create royalty obligations for typical on-hold or internal business applications.
6. Term and Termination
This License is effective upon purchase and remains valid indefinitely, provided the Licensee complies with these terms. Violation of these terms may result in immediate termination of this License. Upon termination, the Licensee must cease use of the music and delete all copies in their possession.
7. Refund Policy
Due to the digital nature of the product, all sales are final and non-refundable once the music files have been downloaded.
8. Limitation of Liability
ClearHold Audio’s total liability under this License shall not exceed the purchase price paid for the music files. In no event shall ClearHold Audio be liable for indirect, incidental, special, or consequential damages.
9. Governing Law
This License shall be governed by the laws of the State of Texas, United States.
10. Proof of License
This document, together with proof of purchase, constitutes valid evidence of licensed authorization for business use.
